1. Acceptance of Terms

By accessing and using apM MUST's B2B wholesale fashion marketplace ("Platform"), you agree to be bound by these Terms of Service ("Terms"). If you are entering into these Terms on behalf of a business, you represent that you have the authority to bind that business to these Terms.

If you do not agree to these Terms, you may not access or use the Platform.

2. Eligibility

Our Platform is exclusively for B2B wholesale transactions. To use our services, you must:

• Be a legally registered business entity
• Have a valid business license and tax identification number
• Be at least 18 years of age
• Complete our business verification process
• Provide accurate and complete business information

We reserve the right to refuse service or terminate accounts that do not meet our eligibility requirements.

3. Account Registration

3.1 Account Creation

To access our Platform, you must create an account and complete our business verification process. You agree to:

• Provide accurate, current, and complete information
• Maintain and update your information as needed
• Keep your account credentials secure and confidential
• Accept responsibility for all activities under your account

3.2 Account Approval

All accounts are subject to approval. We may request additional documentation to verify your business credentials. Account approval is at our sole discretion.

3.3 Account Termination

We reserve the right to suspend or terminate accounts that:

• Violate these Terms
• Engage in fraudulent activities
• Fail to maintain required business credentials
• Have prolonged inactivity

4. Platform Services

4.1 Marketplace

apM MUST provides a platform connecting wholesale buyers with Korean fashion vendors. We facilitate transactions but are not a party to the sale agreement between buyers and vendors.

4.2 Product Information

Product information, including descriptions, images, and pricing, is provided by vendors. While we strive for accuracy, we do not guarantee the completeness or accuracy of product listings.

4.3 Pricing

All prices are displayed in USD and KRW. Prices are subject to change without notice. Currency conversion rates are updated periodically and may vary at the time of transaction.

5. Orders and Payments

5.1 Order Placement

By placing an order, you agree to purchase the selected products at the listed price plus applicable fees and taxes. Order confirmation does not guarantee product availability.

5.2 Payment Terms

• Payment must be made in full before order processing, unless credit terms have been arranged
• We accept major credit cards, wire transfers, and other approved payment methods
• All transactions are processed in the currency selected at checkout

5.3 Minimum Orders

Vendors may set minimum order quantities (MOQ) or minimum order values. These requirements will be displayed on product pages.

5.4 Order Cancellation

Order cancellation policies vary by vendor and product type. Please review the specific cancellation policy before placing your order.

6. Shipping and Delivery

6.1 Shipping Methods

We offer various international shipping options. Shipping costs and delivery times depend on the destination, package weight, and selected shipping method.

6.2 Customs and Duties

International orders may be subject to import duties, taxes, and customs fees. The buyer is responsible for all such charges. We are not responsible for delays caused by customs clearance.

6.3 Risk of Loss

Risk of loss and title for products pass to you upon delivery to the carrier.

7. Returns and Refunds

As a B2B wholesale platform, our return and refund policies differ from consumer retail:

• Returns are accepted only for defective products or shipping errors
• Return requests must be made within 7 days of delivery
• Products must be in original condition with all packaging
• Refunds are processed within 14 business days of receiving returned items

8. Intellectual Property

8.1 Platform Content

All content on the Platform, including logos, designs, text, and software, is owned by apM MUST or its licensors and is protected by intellectual property laws.

8.2 User Content

By uploading content to the Platform, you grant us a non-exclusive license to use, display, and distribute such content in connection with our services.

8.3 Restrictions

You may not:

• Copy, modify, or distribute Platform content without permission
• Use automated systems to access the Platform
• Reverse engineer or attempt to extract source code
• Remove any proprietary notices from Platform materials

9. Prohibited Activities

You agree not to:

• Use the Platform for any illegal purpose
• Misrepresent your identity or business credentials
• Interfere with Platform security or functionality
• Engage in price manipulation or market abuse
• Harass or harm other users or vendors
• Submit false reviews or ratings
• Resell products in violation of vendor restrictions

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

• THE PLATFORM IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND
• WE ARE NOT LIABLE FOR INDIRECT, INCIDENTAL, OR CONSEQUENTIAL DAMAGES
• OUR TOTAL LIABILITY SHALL NOT EXCEED THE FEES PAID BY YOU IN THE PAST 12 MONTHS
• WE ARE NOT RESPONSIBLE FOR VENDOR PRODUCTS, ACTIONS, OR OMISSIONS

11. Indemnification

You agree to indemnify and hold harmless apM MUST, its officers, directors, employees, and agents from any claims, damages, or expenses arising from:

• Your use of the Platform
• Your violation of these Terms
• Your violation of any third-party rights
• Your business activities conducted through the Platform

12. Governing Law and Disputes

These Terms are governed by the laws of the Republic of Korea. Any disputes arising from these Terms shall be resolved through:

1. Good faith negotiation between the parties
2. Mediation through the Korean Commercial Arbitration Board
3. Binding arbitration in Seoul, South Korea

13. Changes to Terms

We may modify these Terms at any time. Material changes will be communicated via email or Platform notification. Continued use of the Platform after changes constitutes acceptance of the modified Terms.
